Summerland Financial Services Limited, trading as Summerland Bank, will hold its 43rd Annual General Meeting (AGM) on Wednesday, 19 November 2025, at Lismore Worker’s Club, located at 225-231 Keen Street, Lismore NSW. The meeting will commence at 6:00 pm (NSW daylight-saving time).
Two (2) director positions will be declared vacant at the 2025 AGM as current directors Colin Sales and Kevin Franey are due to retire by rotation. As both Colin Sales and Kevin Franey are eligible, they have offered themselves for re-election.
Eligible members are invited to nominate as candidates for the director positions. Nomination forms can be obtained from and must be returned to the Company Secretary at companysecretary@summerland.com.au. Nominations close at 5.00pm on 17 September 2025.
To nominate, a candidate must:
- be eligible for election under Division 10 of the Constitution;
- be nominated by two (2) members and consent to the nomination;
- be at least 18 years of age;
- complete a Personal Information Statement and fit and proper declaration;
- provide all information required to confirm the candidate is eligible by law to be a director;
- demonstrate how they meet the required skills, knowledge and competencies for eligibility and appointment; and
- be able to attend a face-to-face interview.
The Board requires candidates with extensive operational experience at an executive or director level within a customer-owned ADI or the financial services sector. They will possess contemporary expertise in non-financial risk & credit, governance, legal & regulatory matters, and banking. Additionally, candidates must have a strong background in strategy, people management, culture, and leadership. Prior experience as a director is essential, along with the ability to think strategically and to critically assess strategic opportunities.
Candidates who meet these criteria and are invited for an interview will be assessed by the Board Governance and Culture Committee. This assessment will determine the candidate’s fitness, propriety, and competency to serve as a director, in accordance with Summerland Bank’s Fit and Proper Policy, the Financial Accountability Regime and the Board Skills and Experience Matrix.
